Our corporate and commercial services relate to the ‘whole-of-lifecycle’ issues for existing or future corporations, commercial trusts, partnerships, joint ventures and all other types of business organisation (collectively, commercial vehicles).
Co-ordinating with other professionals as necessary, we provide services for the initial formation, operation and control of a commercial vehicle; in relation to corporations, this might involve registration work and additional documentation such as Shareholder Agreements or, in the case of partnerships, drafting a Deed of Partnership.
Once a commercial vehicle is up and running, we can provide the necessary support and maintenance services: we can analyse and draft modifications to those documents already in place (for example, by drafting Deeds of Variation) and we are happy to advise on the operation of the vehicle in practice (or should that be ‘on the road’?) in relation to such things as directors’ remuneration and minority shareholder issues.
The end of a commercial vehicle may come about in any one of a number of ways: decision of the owners, insolvency, and so on. We are able to provide a number of services in connection with such events, such as review and action on directors’ guarantees.
